Corporation Filing Fees The fee for filing Articles of Incorporation (called a Certificate of Incorporation in Connecticut) is $275. The Certificate of Incorporation form carries a $200 filing fee, which includes a $150 minimum Franchise Tax and $50 to file the Certificate of Incorporation. Connecticut imposes an additional filing requirement: an Organization and First Report, which carries an additional filling fee of $75.
Corporate Name Reservation Information and Fees The Connecticut Secretary of State’ s office provides informal information regarding corporate name availability by calling (860) 509-6002. Connecticut incorporators may reserve corporate names by filing the form entitled ‘Application for Reservation of Name for Domestic or Foreign Stock & Non-Stock Corp., The fee is $30, and The name reservation remains effective for 120 days.

Periodic Corporation Reporting Requirements Connecticut corporations and qualified foreign corporations must file annual reports by the last day of the month in which the entity originally filed in the state. The annual report fee is $75. Annual report forms are not available online.

Corporate Tax Summary Connecticut corporations and foreign corporations doing business in Connecticut pay a tax based either upon net income or upon capital stock, whichever is higher. The minimum tax is $250.
“S” Corporation Information Connecticut recently phased out business tax on S corporations. Connecticut recognizes the federal S corporation provision. The subchapter S election is automatic and no state specific forms need be filed to make the subchapter S election.
