Definition of Articles Of Incorporation



The document which gives birth to a corporation by filing in the state of incorporation. Articles cover foundational matters such as the name of the corporation, the shares it is authorized to issue, its corporate purpose, and the name and address of its agent for service of process in its state of incorproration. Articles of incorporation are public documents and serve to notify the public of the chartered status of the entity. Articles of incorporation are sometimes called "certificate of incorporation" in some states, most notably delaware.
